ARTICLE I - NAME:
This organization shall be known as Safeguarding Our Children - United Mothers, hereinafter referred to also as "SOC-UM". A Chapter of SOC-UM will work within the guildlines of this constituion, upon approval of the National Organization, in Tracy, CA.
ARTICLE II - OBJECTIVE:
Section 1.
Safeguarding Our Children - United Mothers is an organization dedicated to public awareness, children's education, and assistance to those who have been victimized by child abuse - with an emphasis on molestation. SOC-UM operates both on and off line. The Divisions of SOC-UM are:
(a) Education and Prevention
(b) WE-CAN: Web Emergency - Child Alert Network
Section 2.
To achieve this objective SOC-UM will maintain and provide to the community a children's educational program. SOC-UM will also maintain on-line a vehicle for facilitating the information on immediately missing (non-family abduction) children in cooperation with the National Center for Missing and Exploitated Children. Material will be provided to the local community and the Internet on the current laws that affect this issue along with information on how the public can help make this a priority for children.
All Directors, Officers, and Members shall bear in mind that privacy of all victims is required. In accordance with Section 501-(c)-3 of the Federal Internal Revenue Code, SOC-UM shall operate exclusively as a non-profit educational organization providing a service to the community, on and off the internet..
No part of the net earnings shall inure to the benefit of any private shareholder or individual; no substantial part of the activities of which is carrying on propaganda, or otherwise attempting to influence legislation, and which does not participate in or intervene in any political campaign on behalf of any candidate for public office.
ARTICLE III - MEMBERSHIP:
Section 1. ELIGIBILITY
Any person sincerely interested in active participation to effect the objectives of SOC-UM may become a member with the exception of any person who has been convicted of a crime against a child, and/or have admitted to being sexually attracted to a child..
Section 2. CLASSES
There shall be awareness classes for all new members.
Section 3. MEMBERSHIP DEFINITIONS
(a) Non-active members. Shall be required to attend a refresher briefing on all current activities which relate to SOC-UM. They shall have no rights, duties or obligations in the management of SOC-UM.
(b) Active Members. Any person actively interested in furthering the objectives of SOC-UM may participate in routine management of the organization. All Officers and Board Members must be Active Members and in good standing.
(c) Honorary Members. Any person may be elected as Honorary Member by the unanimous vote of all Board Members present at any duly held meeting of the Board but shall have no rights, duties or obligations in the management of SOC-UM.
(d) Sustaining Members. Any person not an Active Member who makes financial or othercontributions to SOC-UM may by a majority vote of the Board become a Sustaining Member, but such person shall have no rights, duties or obligations in the management of SOC-UM.
(e) As used hereinafter, the word "member" shall mean an Active Member unless otherwise stated. All chapters of SOC-UM will notify the National Organization of all dues, fundrasing, and monies received and outgoing. Any dues that are received from chapters must be reviewed by National Organization.
Section 4. OTHER AFFILIATIONS
(a) Members shall not be required to be affiliated with other organizations or groups to qualify as a member of SOC-UM.
(b) Members shall not be actively engaged in the promotion or operations of groups that have a different viewpoint on child molestation and or child exploitation..
Section 5. SUSPENSION OR TERMINATION
Membership may be terminated by resignation or action of the Board Membership.
(a) The Board by a two-thirds vote of those present at any duly constituted meeting, shall have the authority to suspend or terminate the membership of any Member of any class when the conduct of such person is considered detrimental to the stated interests of SOC-UM.
(b) The Member involved shall be notified of such meeting, informed of the general nature of the charges and be given an opportunity to appear at the meeting (either by conference call or in person) to answer such charges.
(c) The Board shall notify all members that a registered sex offender or any other person who has been convicted of a crime against a child is not eligible for membership, or that any person who declares him/her self to be sexually attracted to a child.
ARTICLE IV - MEETINGS:
Section 1. ANNUAL MEETING
The annual meeting of the Members of SOC-UM shall be held each year for purpose of receiving and reviewing reports, and for the transaction of such business as may properly come before the meeting. This meeting may be accomplished either by telephone conference.
Section 2. NOTICE OF MEETING
Notice of each meeting of the members shall be mailed or otherwise delivered to each member in advance to set forth the place, time and purpose of the meeting.
Section 3. SPECIAL MEETINGS
Special meetings of the members may be called by the Board at their discretion for pending legislation regarding child molestation, or to discuss funds that may be required for dispersion of funds to victims, or educational materials.
Section 4. RULES OF ORDER
Robert's Rules of Order shall govern the proceedings of all meetings, except where same conflicts with the Constitution or bylaws of SOC-UM.
ARTICLE V - BOARD MEMBERSHIP:
Section 1.BOARD OF DIRECTORS
The Board of Directors shall consist of Officers of SOC-UM and others duly nominated and voted upon by the Board.
Section 2. HONORARY BOARD MEMBERS
Honorary board members have no official governing power for SOC-UM. They may attend all board meetings but are not required to do so to hold the Office.
Section 3. NEW BOARD MEMBERS
All new Board Members or Honorary Members shall be approved by a majority vote of Board Members in attendance.
Section 4. VACANCIES
If any vacancy occurs in the Board, by death, resignation or otherwise, it may be filled by a majority vote of the remaining Board at any regular meeting or at any special meeting called for that purpose.
Section 5. DUTIES AND POWERS
The Board shall have the power to appoint such standing committees as it shall determine and to delegate such powers to them as the Board membership shall deem advisable and which it may properly delegate. The Board may adopt such rules and regulations for the conduct of its meetings and the management of SOC-UM as it may deem proper. The membership shall receive at the annual meeting of the Members of SOC-UM a report verified by the Board a report showing the whole amount of moneys applied, appropriated or expended during the year immediately preceding such date, and the purposes, objects or persons to or for which such applications, appropriations or expenditures have been made; and the names and places of residence of the persons who have been admitted to membership in SOC-UM during such year, which report shall be filed with the records of SOC-UM. A copy of this report shall be kept on file.
ARTICLE VI - EXECUTIVE COMMITTEE (OPTIONAL)
Section 1.
The Board may appoint an Executive Committee which shall consist of not less than three (3) nor more than five (5) Directors, one of whom shall be the President of a local Chapter.
Section 2.
The Executive Committee shall advise with and assist the Officers of SOC-UM in all matters concerning its interests and the management of its affairs, and shall have such other powers as may be delegated to it by the Board Membership.
ARTICLE VII - OTHER COMMITTEES:
Section 1. FINANCE COMMITTEE.
The Board Membership may appoint a Finance committee. The committee shall investigate ways and means of financing SOC-UM through fundraising activities and submit recommendations. The Board shall review and evaluate projects for raising money and disposition of profits.
ARTICLE VIII - OFFICERS, DUTIES AND POWERS:
Section 1. OFFICERS
The officers of SOC-UM shall consist of a Executive Officer, President, Vice President, Treasurer, Secretary, and other active board members as needed.
The Board may appoint such other Officers or Agents as it may deem necessary or desirable, and may prescribe the powers and duties of each, and may fill any vacancy which may occur in any office.
Section 2. EXECUTIVE OFFICER
The Executive Officer shall:
(a) Conduct the affairs of SOC-UM and execute the policies established by the Board.
(b) Present a report of the condition of SOC-UM at the annual meeting.
(c) Communicate to the Board Membership such matters as deemed appropriate, and make such suggestions as may tend to promote the welfare of SOC-UM.
(d) Be responsible for the management of SOC-UM.
(e) Designate in writing, other Officers if necessary, to have power to make and execute for and in the name of SOC-UM such contracts and leases they may receive.
Section 3. PRESIDENT
The Operations/President Officer shall:
(a) Conduct all Legislative matters.
(b) Appoint other Officers if necessary, to have assist with legislative issues.
(c) Perform such duties as herein specifically set forth and such other duties as agree customarily incident to the Office of Operations or may be assigned by the Board Membership.
(d) Receive all moneys and securities, and deposit same in a depository approved by the Board Membership.
(e) Keep records for the receipt and disbursement of all moneys and securities of SOC-UM, including the Auxiliary, approve all payments from allotted funds and draw checks therefore in agreement with the policies established in advance of such action by the Board.
All disbursements by check must have President, or Executive Officer signatures. Prepare an annual budget, under the direction of the Executive Officer, for submission to the Board at the annual meeting. Prepare an annual financial report, under the direction of the Executive Officer, for submission to the Membership and Board.
Section 4. VICE PRESIDENT, TRESURER, SECRETARY
These Officers shall:
(a) Record and maintain a list of all resources gathered for the community benefit for dispersion to those in need of services.
(b) Record annual meetings and file a summary of all forthcoming incidents.
(c) Maintain a positive relationship with all community leaders.
(d) Promote SOC-UM at various groups thoughout the State and Nation.
(e) Educate all concerned citizens on child abuse and the devastation that children go through.
Section 5. Any Board Member can act as the Education Officer.
The Education Officer shall:
(a) Promote education throughout the community.
(b) Prepare class program for presentation.
(c) Get local involvement of citizens.
(d) Act as liaison with local schools. All duties can be done by all named Officers. They act in team response to the issue of child abuse.
All assigned duties can be changed at the direction of the Board.
ARTICLE IX - FINANCIAL AND ACCOUNTING:
Section 1.
The Board shall decide all matters pertaining to the finances of the trust fund and SOC-UM. All income directed towards the trust fund will be given no individual advantage by any one Board Member.
Section 2.
The Board shall not permit the contribution of funds without Special Membership meetings. There shall be no favoritism among individuals requesting assistance.
Section 3.
The Board shall not permit the solicitation of funds in the name of SOC-UM unless all of the funds so raised are placed in the SOC-UM treasury.
Section 4.
The Board shall not permit the disbursement of SOC-UM funds for other than the conduct of SOC-UM activities in accordance with SOC-UM policies.
Section 5.
All moneys received, including Trust Funds, shall be deposited to the credit of SOC-UM in Westside Bank (or local bank for chapter members) and all disbursement shall be made by check. All checks shall be signed by the President or Executive Officer.
Section 6. FISCAL YEAR.
The fiscal year of SOC-UM shall begin on the first day of February and shall end on the last day of January.
Section 7. DISTRIBUTION OF PROPERTY UPON DISSOLUTION.
Upon dissolution of SOC-UM and after all outstanding debts and claims have been satisfied, the Board shall distribute the property of SOC-UM to such other Federally incorporated entity maintaining an objective similar to that set forth herein, which are or may be entitled to exemption under Section 501 (c) (3) of the Internal Revenue Code or any future corres- ponding provision.
ARTICLE X - AMENDMENTS:
This Constitution and By-Laws may be amended, repealed or altered in whole or in part by a majority vote at any duly organized meeting of the National Board provided such notice of the proposed change is included in the notice of such meeting. Draft of all proposed amendments shall be submitted to National Board.
